Submissions to Cell Microsystems (the “Company”) for the Shear flow showdown program (the “Program”) must be received by 11:59 PM Eastern Standard Time on Friday 17th May 2024.

Use of Information:

As part of the application process each submitter must check the terms and conditions box agreeing that Cell Microsystems is granted the right to use data and information from the selected recipient’s project in the Company’s application notes, product development, and marketing literature.  Data and information authorized to be used by the Company includes but not limited to organization name, submitter’s name, cell line identification, workflow results, and imaged-based analysis.

Eligibility and Requirements:

In order to be eligible for selection as a recipient of the Shear flow showdown, applicants must be located in the United States (excluding Puerto Rico) or Canada and employed by the institution or company indicated on the application form.  Applicants that do not complete all parts of the application are ineligible for the Program.  Submission of the application to the Program will be taken as a representation that the applicant is employed at the indicated institution or company in a capacity in which they are able to perform research on, and have the capability and authorization to send, experimental reagents/compounds and/or cells as described in the submitted application. The Program recipients must be age 21 or older. Members of the immediate families of Cell Microsystems employees and directors, and persons living in the same household as such persons, are ineligible for this Program.  Applicants selected as a recipient of the Program will bear the costs of sending their reagents/compounds to Cell Microsystems.

Selection of Recipient:

Five (5) recipients will be selected from all qualified applicants by a panel of Cell Microsystems scientists. The decision of this scientific panel will be final and binding and shall not be subject to review or appeal by any applicant or by any third party. Cell Microsystems will attempt to contact the selected recipients by email within approximately five (5) business days after selection. Selected recipients that do not reply to the Company’s email within two weeks of the send date will be removed from the Program.  The odds of being selected are dependent on the number of eligible applications received.

Award Description

The selected applicants will each receive a detailed analysis report of the data that was collected, high-resolution microscopy images/videos in brightfield and/or fluorescence, and a detailed protocol of the experimental procedures. Experimental reagents/compounds and/or cells will be provided by the applicant and shipped to Cell Microsystems at 801 Capitola Drive, Ste 10; Durham, NC 27713. Residual experimental reagents/compounds and/or cells will be destroyed upon applicant’s receipt and confirmation of experimental data report, images, and protocol.

Miscellaneous:

Cell Microsystems, Inc. is the sponsor of this Shear Flow Showdown Program. No purchase is necessary to enter. By applying for the Program, each applicant agrees to these terms and conditions and that Cell Microsystems may process the personal data he or she provides in accordance with Cell Microsystems’s privacy policies available at  Cell Microsystems.com/privacy and these Terms and Conditions. This program is void where prohibited or otherwise restricted by law. The recipients or their applicable institution are responsible for any tax liability associated with their selection for the Program. This is not a “cash in hand” giveaway and the winners have no option to receive any cash payment or alternative award in lieu of having experimental data generated. The recipient may not transfer or assign its selection under the Program. Cell Microsystems makes no warranty, representation, or guarantee, express or implied, with respect to the recipient’s selection for the Program or the results therefrom. If the Program cannot be run as planned for any reason, then Cell Microsystems reserves the right in its sole discretion to cancel, modify or suspend the Program. Each applicant to the Program and the applicant’s institution or company represents and warrants that: a) the applicant has obtained all required authorizations to transfer their experimental reagents/compounds to Cell Microsystems and to use it under the Program, and b) that possession and use of the applicant’s reagents/compounds does not violate any applicable law, regulation, or the rights of any third party.

IN NO EVENT SHALL CELL MICROSYSTEMS, ITS AFFILIATES OR SUBSIDIARIES, OR ITS OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOST REVENUES, LOST PROFITS OR DAMAGES FOR HARM TO BUSINESS OR LOSS OF DATA, IN EACH CASE, WHATSOEVER ARISING OUT OF OR IN CONJUNCTION WITH THE PROGRAM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY OF THEM ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These terms and conditions and any action related to the Program are governed by the laws of the State of North Carolina, USA, without regard to its conflict of law provisions.
